Noida Agreement to Sell Generator

THIS AGREEMENT TO SELL is made and executed on ___________ at Noida between ________________________ (PAN – ____________, AADHAR – ________________), S/o, D/o, W/o ________________________, R/o ____________________________________________________ altogether of the First part hereinafter called the “VENDOR(S)” (Seller).

And

________________________ (PAN – ____________, AADHAR – ________________), S/o, D/o, W/o ________________________, R/o ____________________________________________________ altogether of the Second Part hereinafter called the “VENDEE(S)” (Buyer).

(The expression and words of the Vendor and Vendee shall mean and include their legal heirs, successors, assigns nominees, executors, administrators and legal representatives respectively).

WHEREAS the Vendor(s) aforesaid is the actual owner/allottee, lessee and in possession of Residential Property No. ____________________________________________________, Plot Area _______, Total Built Up Area ______________, hereinafter referred to as the "PROPERTY".

AND WHEREAS the vendor(s) aforesaid is desirous to sell the said property in favour of the Vendee(s) and the Vendee(s) aforesaid is desirous to purchase the said property, for the total sale consideration Rs. ___________/- (___________________________________). The Vendor(s) has agreed to sell and the vendee(s) has also agreed to purchase the same for this amount.

NOW THIS AGREEMENT TO SELL WITNESSETH AS UNDER: -

1. That the total sale consideration of the said Residential Property No. ____________________________________________________, Plot Area _______, Total Built Up Area ______________ has been settled at Rs. ___________/- (___________________________________).

2. That the Vendor(s) aforesaid has received a sum of Rs. ___________/- (___________________________________) from the Vendee(s), the receipt of which the Vendor(s) hereby acknowledges. The payment thus being made in the following manner:

FURTHER AS FOLLOWS:

3. That the application for the Transfer Deed/Sale Deed before the Noida Authority will be submitted by the Vendor(s) on or before ______________. That the Vendee(s) will complete payment of Rs. ___________/- (___________________________________) out of total sales consideration on or before Registration of transfer/sale deed.

4. That the Vendee(s) is agreed to make Full & Final payment of the deal on or before ______________.

5. That the Vendor(s) will give peaceful and vacant Possession of the property immediately after Transfer Deed.

6. Vendee(s) will deduct TDS @1% (or as applicable) of total sales consideration as per prevailing rules of, Income Tax department, from total sales consideration and issue a TDS certification to the vendor(s) in the name of Vendor(s).

7. That the Vendor(s) has assured the Vendee(s) that the above said property is free from all sorts of encumbrances such as transfer deeds, sale/ agreement, pledge, lien, gift, exchange, attachment, dispute, loan, litigation, injunction and decree of any Court of Law, and if proved otherwise the Vendor(s) shall be liable and responsible for the same and the Vendee(s) shall have the rights to recover the entire amount with cost and expenses, even from the movable and immovable property of the Vendor(s).

8. That the One Time Lease Rent is already paid by Seller and included in the total sales consideration.

9. That the Vendor(s) shall be liable to incur all outstanding dues and demands or penalties in respect of the said property till date of transfer Deed. And the vendee(s) will be responsible for any demands & dues after transfer deed.

10. That the Vendor(s) will obtain the required NOCs from the accounts department and water department of Noida Authority, any expenditure incurred in getting the NOC will be paid by the Vendor(s). Also, the Vendor(s) will clear all the dues of the electricity Bill, Water Bill, PNG Bill & RWA charges if any.

11. That the Vendor(s) aforesaid shall apply and obtain the permission to Transfer of the said property from the Noida Authority in favour of the vendee(s) or his/ her nominee(s). All expenses incurred for getting the property transferred from Noida authority will be paid by the Vendee(s).

12. That the expenses to be incurred on stamp duty, registration fee, and other legal expenses for the transfer deed, or relating to the transfer, shall be borne by the Vendee(s).

13. That the Vendee(s) has assured the Vendor(s) that all amounts payable under this agreement shall be paid on time.

14. That the vendor(s) will hand over all the original documents & all Sets of the keys of the property to the vendee(s) at the time of Transfer deed.

15. That the Vendee(s) shall have the rights to get the Transfer of the same Property executed in his / her own favor of his / her nominee (s) for which the Vendor(s) has got no objection.

16. That the Vendor(s) will provide the documents required by the bank for the bank loan of the Vendee(s).

17. That in case the Vendee(s) fails to make the payment within the stipulated period on compliance and fulfillment by the Vendor(s) of all the required terms, conditions referred hereinabove, the advance/earnest money shall stand forfeited by the Vendor(s).

18. That in case of failure of the Vendor(s) to execute the necessary documents of transfer in favour of the Vendee(s), failure to provide vacant possession and delivery of documents, the Vendor(s) undertakes to pay double of the advance/earnest money to the Vendee(s).

19. That in case of breach of any clause by the Vendor(s) aforesaid, the Vendee(s) shall have the right to get the Transfer/ Transfer Deed registered through the Court of Law after depositing the balance amount of this AGREEMENT TO SELL in the court, if any.

IN WITNESS THERE OF, The Vendor(s) and the Vendee(s) aforesaid have set their respective hands on this AGREEMENT TO SELL on ___________ in the presence of the following witnesses.
